Welcome to Codexo Sites LLC (“Codexo,” “we,” “us,” or “our”). By accessing or using our website and services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use our website or services.
1. Use of Services
A. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use our services, or have consent of a legal guardian.
B. Prohibited Activities
You agree not to:
- Violate any applicable laws or regulations
- Distribute viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or data
- Use our services for fraudulent, deceptive, or illegal purposes
2. Intellectual Property
All content on this website, including text, graphics, logos, software, workflows, automations, and related materials, is the property of Codexo Sites LLC or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, or modify any content without prior written permission.
3. Payment and Fees
A. Pricing
All prices are listed in USD and may change without notice unless otherwise agreed in writing.
B. Payment Terms
Payments for services must be made in full before work begins unless otherwise agreed in writing.
C. Monthly Billing, Late Fees, and Delinquency
Monthly billing must be paid in full on or before the due date specified in the service agreement. If payment is not received by the due date:
- A late fee of $29 may be applied.
- If payment is not received within three (3) calendar days, the account may be considered delinquent and access to services, platforms, and deliverables may be suspended until the balance is paid in full.
- Amounts overdue by more than three (3) days may accrue interest at an annual rate of 27.92%, calculated daily, until paid.
You are responsible for maintaining a valid payment method on file. Continued delinquency may result in termination and, where appropriate, collections.
D. Cancellations
All cancellations must be submitted in writing via email or the client portal prior to the start of the next billing cycle. Cancellations received after a billing period has begun are not eligible for refund, credit, or proration. To avoid charges for an upcoming period, cancellation requests must be received at least 24 hours before the next scheduled billing date. Failure to properly cancel may result in continued billing.
Codexo reserves the right to terminate accounts or agreements at its discretion, with or without cause, and with reasonable notice where feasible.
4. Service Delivery
We strive to deliver services within agreed timelines. However, delays may occur due to client delays, third-party vendors, or events outside our control. Codexo Sites LLC is not liable for delays caused by these factors.
5. Communications Consent, SMS/MMS, and AI-Based Communications
If you provide your contact information and opt in through a form, scheduler, chat, intake process, service request, or other consent method, Codexo Sites LLC may contact you by email, phone call, SMS, and/or MMS.
With your consent, these communications may include:
- Appointment confirmations
- Service communications
- Account notifications
- Support messages
- Follow-up communications
- Marketing and promotional messages
- Automated messages
- Prerecorded messages
- AI-assisted or AI-generated communications
- Artificial voice or system-generated voice communications where permitted by law
6. Partner Contact
Codexo may work with selected partners, vendors, referral partners, or implementation partners. If you separately and expressly opt in, Codexo may share limited submitted information with selected partners so they may contact you regarding relevant products or services.
Partner consent is separate from your consent to receive communications from Codexo.
7. Limitation of Liability
To the maximum extent permitted by law, Codexo Sites LLC is not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, our services. Our total liability for any claim will not exceed the amount you paid to Codexo Sites LLC for the services giving rise to the claim.
8. Termination
We may terminate or suspend access to services at any time if we reasonably believe you have violated these Terms or engaged in unlawful conduct.
9. Privacy
Your use of our services is also governed by our Privacy Policy. By using our services, you consent to the collection and use of your data as described in the Privacy Policy.
10. Governing Law
These Terms are governed by the laws of the State of GA, without regard to conflict-of-law rules. Any disputes shall be resolved in the state or federal courts located in Paulding County, GA.
11. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted. Continued use of the website or services after changes means you accept the updated Terms.
